Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Rovanta website and software platform (the "Service"), provided by Rovanta ("Rovanta," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements and that any information you provide is accurate and complete. The Service is intended for users located in the United States.

2. Accounts

To use most features, you must create an account. You are responsible for:

• Providing accurate account information and keeping it up to date;
• Maintaining the security and confidentiality of your login credentials;
• All activity that occurs under your account.

Notify us promptly at jack@rovanta.com if you suspect any unauthorized use of your account. You are responsible for managing the roles and permissions of members you invite to your organization.

3. Subscriptions, Billing, and Trials

Free trial. We may offer a 14-day free trial. If you do not cancel before the trial ends, your paid subscription begins automatically and your payment method will be charged.

Fees. Subscription fees are described on our website and are billed on a recurring monthly basis. Current pricing consists of a base monthly fee plus a per-aircraft or per-user charge as described at signup. We may change our fees; if we do, we will provide reasonable advance notice, and changes will apply to subsequent billing periods.

Payment. Payments are processed by Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel. You are responsible for providing valid, current payment information.

No refunds. All fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, or amounts already charged, except where required by law.

Cancellation. You may cancel your subscription at any time through your account or by contacting us. Cancellation stops future billing; it does not entitle you to a refund of fees already paid. Your access continues until the end of the current billing period.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Access or attempt to access data belonging to other organizations or users;
• Interfere with, disrupt, or compromise the security or integrity of the Service;
• Reverse engineer, copy, or attempt to extract the source code of the Service, except as permitted by law;
• Upload malicious code or content that infringes the rights of others;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted.

We may suspend or terminate access for violations of these Terms.

5. Your Data

Your content. You retain ownership of the data and content you enter into the Service ("Your Data"), including aircraft records, maintenance logs, squawks, documents, and financial records.

License to us. You grant us a limited license to host, store, process, and display Your Data solely as necessary to provide and improve the Service to you.

Your responsibility. You are responsible for the accuracy, quality, and legality of Your Data and for ensuring you have the right to submit it. The Service is a tool to help you organize and manage information; you are responsible for verifying the accuracy of records, calculations, and outputs, including any financial or maintenance-related figures.

6. Service Availability

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We may modify, suspend, or discontinue features of the Service at any time.

7. Aviation and Professional Disclaimer

The Service is a software tool for organizing and tracking operational and maintenance information. It is not a substitute for professional judgment, regulatory compliance, or airworthiness determinations. You remain solely responsible for compliance with all applicable aviation regulations, maintenance requirements, recordkeeping obligations, and safety determinations. Rovanta does not provide aviation, maintenance, legal, tax, or financial advice, and nothing in the Service should be relied upon as such.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROVANTA AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Rovanta and its owners, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law
